Position Summary

The Senior Counsel, Contracts, will be focused on reviewing, drafting, and negotiating a wide variety of contracts, including commercial contracts. This individual will also be expected to handle several other general corporate legal matters. This position is in Chicago, Illinois.

Responsibilities

  • Review, draft and negotiate a wide range of contracts, including services agreements, license agreements, technology agreements, marketing agreements, non-disclosure agreements, lease agreements and other agreement types.
  • Provide legal advice and guidance on contract interpretation, dispute resolution, and other legal matters related to contracts.
  • Stay up to date with changes in law and business that could impact the Company's contractual obligations and rights.
  • Assist in the development or enhancement of templates, policies, and processes to help create efficiencies in the contracting process.
  • Assist in managing outside counsel work on general corporate matters.
  • Other legal support for Company activities.

Qualifications

  • Bachelor's Degree and Juris Doctorate required (from an accredited institution).
  • Member of Illinois state bar or otherwise authorized to practice law in Illinois.
  • Minimum 5 years of directly related experience in a law firm and/or in-house legal department.
  • Knowledge of relevant substantive legal areas, including intellectual property, licensing, privacy, and data protection.
  • Working knowledge of general securities industry, financial markets and/or derivatives markets - preferred.
  • Computer proficiency in Microsoft Office Suite applications including Word, PowerPoint, Excel, and Outlook, as well as document management and other office technologies.
  • Strong attention to detail and ability to understand complex contractual issues, assess risk and provide pragmatic recommendations to all levels of management.
  • Ability to independently manage multiple time-sensitive projects simultaneously.
